Brahim Mouelhi is a senior lawyer specialized in international construction, energy and environment infrastructure and services’ transactions. During his over 30 years career as a Corporate Lawyer within several international Groups, he has been actively involved in a range of major projects worldwide at all implementation steps, from preliminary study, commercial negotiation, structuring project finance, contract management and final dispute settlement.
More specifically, he assisted commercial and operational teams in:
- Negotiating and drafting sophisticated agreements (Concessions, PPP/PFI, EPC,
License/Lease agreements, subcontracting and services contracts…), project
financing and security package documentation, as well as political and technical risk
guarantee instruments; - Drafting partnership and intra-group agreements, setting up joint ventures and
special purpose vehicles in various jurisdictions, establishing governance rules and
compliance procedures; - Participating at senior management level in risk management and strategical
investment decision; - Advising on contract management as to multipartite relationship;
- Elaborating and dealing with claim memoranda, conducting amicable settlement
and /or dispute resolution proceeding.
During his long career, he has successively held the positions of: Head of Legal Department of the Channel Tunnel Project (French Site), Deputy Head of Legal of Bouygues Civil Works, International Legal Director of SAUR Group, Legal Director Europe Division of COLAS Group, Head of Legal and Compliance of SCDM Energy Ltd.
Among the major deals in which he was involved, hands on:
Construction of 140 Kms Railway Project (Algeria); Channel Tunnel Project (France-UK); M5 and M6 Motorway Concession Projects (Hungary); Istrian Motorway Project (Croatia); Mendoza Water and Electricity Concessions (Argentina); Glasgow Sewage Plant (Scotland 2001-2003); Portsmouth Road Network (UK), Water and Electricity Concessions (Mali and Ivory Coast 2000-2006); numerous Road projects in Central Europe; Foxtrot Offshore Oil & Gas field (Ivory Coast).
In 1985, Brahim was sworn in at the Tunis Bar.
Since he retired, he carries out activities as Independent Consultant. In such capacity, he assisted his clients in connection with several infrastructure deals in France (Grand Paris Express, Metro and tramway works), the UK (HS2 London Manchester), Egypt, Uganda, and Chile.
Besides, he is an Adjunct Professor in Construction, International Environmental and Energy Law at several Law Schools (La Sorbonne Law School, Nice Côte d’Azur, and Paris Nanterre).
He is also listed on the Panel of Arbitrators and Mediators of the French Civil Works Association (FNTP) and the Cairo Regional Centre (CRCICA) and is accredited Mediator with the CIArb.
Brahim holds a Law degree from Al Manar Law Faculty (Tunis 1978) and two master’s degrees in finance and Fiscal Law and Public Law (Paris 2 University 1979-1980), a Certificate in Commercial Mediation (CIArb London 2018) and a Certificate in Arbitration practice (University of Versailles – Yvelines 2021); he participates regularly in many trainings with reputed institutions in dispute resolution and international legal and contracting activities (ICC, CIArb, FIDIC…).
He is an active member in numerous professional organizations, such as AECI (Association of Independent Construction Experts); FNTP (Federation Française de Travaux Publics), AIEN (Association of International Energy Negotiators) and DRBF (Dispute Resolution Board Foundation).
He is also a member of several professional organizations, including the AIEN (Association of International Energy Negotiators), the CILS Group of Mediators (Centre of International Legal Studies), the CMATP (Civil Works Mediation and Arbitration Committee), the DRBF (Dispute Resolution Board Foundation) and the CIArb.
